  3.                 SOFTWARE LICENSE AGREEMENT OF
  4.                WEINZIERL SOFTWARE DEVELOPMENT, L.C.

  7. WEINZIERL SOFTWARE, L.C. ("LICENSOR") IS WILLING TO LICENSE THE
  8. ACCOMPANYING SOFTWARE TO YOU ONLY IF YOU ACCEPT ALL OF THE
  9. TERMS IN THIS LICENSE AGREEMENT. PLEASE READ THE TERMS
  10. CAREFULLY BEFORE YOU INSTALL THE SOFTWARE, BECAUSE BY
  11. INSTALLING THE SOFTWARE YOU ARE AGREEING TO BE BOUND BY THE
  12. TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS,
  13. LICENSOR WILL NOT LICENSE THIS SOFTWARE TO YOU, AND IN THAT
  14. CASE YOU SHOULD IMMEDIATELY DELETE ALL COPIES OF THIS
  15. SOFTWARE YOU HAVE IN ANY FORM.

  18. OWNERSHIP OF THE SOFTWARE
  19.  
  20. 1.   The enclosed Licensor software program ("Software") and
  21.   the accompanying written materials are owned by Licensor or
  22.   its suppliers.

  24. GRANT OF LICENSE
  25.  
  26. 2.If you have not yet purchased a license to the
  27.   Software, Licensor grants to you the right to use one copy
  28.   of the Software on a single computer for an evaluation
  29.   period of 30 - days.  If you wish to continue using the
  30.   Software and accompanying written materials after the
  31.   evaluation period, you must register the Software by sending
  32.   the required payment to Licensor. You will then receive a
  33.   license for continued use and a registration code that will
  34.   permit you to use the Software free of payment reminders.
  35.   The Software may come with extra programs and features that
  36.   are available for use only to registered users through the
  37.   use of their registration code.

  40. RESTRICTIONS ON USE AND TRANSFER

  42. 3.   You may distribute the Software and accompanying
  43.   written materials to others so long as all the files
  44.   comprising the Software and accompanying written materials
  45.   are passed to the user without modification and that a clear
  46.   statement is made to the receiver of the distribution that
  47.   you are in no way transferring or assigning rights to the
  48.   Software.  The Licensor may revoke the right to distribute
  49.   the Software at any time, with or without cause, by giving
  50.   30 days written notice to the distributor.

  52. 4.   You may make printed copies of the written materials
  53.   accompanying Software provided that they used only by users
  54.   bound by this license.

  56. 5.   You may not distribute or transfer your registration
  57.   code or transfer the rights given by the registration code.

  59. 6.   You may not rent or lease the Software or otherwise
  60.   transfer or assign the right to use the Software.

  62. 7.   You may not reverse engineer, decompile, or disassemble
  63.   the Software.

  66. DISCLAIMER OF WARRANTY

  68. 8.  THIS SOFTWARE AND ITS ACCOMPANYING WRITTEN MATERIALS
  69.   ARE PROVIDED BY LICENSOR "AS IS" AND ANY EXPRESS OR IMPLIED
  70.   WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED
  71.   WARRANTIES OF MERCHANTABILITY,  FITNESS FOR A PARTICULAR
  72.   PURPOSE, AND NON-INFRINGEMENT, ARE  DISCLAIMED.

  74. 9.  IN NO EVENT SHALL LICENSOR OR ITS SUPPLIERS BE LIABLE
  75.   FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR
  76.   CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO,
  77.   PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE,
  78.   DATA, SAVINGS, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER
  79.   CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT,
  80.   STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR
  81.   OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS
  82.   SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
  83.   Because some states do not allow the exclusion or limitation
  84.   of liability for consequential or incidental damages, the
  85.   above limitation may not apply to you.
